Custom software projects: For custom-built projects, you own the custom code, designs, and deliverables once all invoices are paid in full according to your contract.

Open-source libraries remain under their public licenses (such as MIT or Apache). You receive a permanent, royalty-free right to run any integrated Apps Digit starter tools as part of your completed software.

7 Quotes, Contracts, and Payment Terms

Website estimates: Online price calculators and initial quotes are general estimates. Final pricing, deliverables, and payment structures are defined solely in your written contract.
Payments based on initial contract: We do not work on milestone payments by default. All payment schedules, installment plans, advances, and payment terms are strictly determined by how the contract is initially made and agreed upon when signed. Work begins and proceeds strictly under those agreed contract terms.
Late payments and interest: Invoices must be paid on or before their due dates. Overdue invoices may incur a late payment administrative fee or interest at the rate specified in your contract (or 1.5% per month, whichever is lower) after written notice.
Work suspension and timeline impact: If an invoice is overdue, we reserve the right to immediately pause all active development work and staging access. Any work suspension automatically pushes back all delivery deadlines and launch targets, and the revised schedule will depend on engineering squad availability.
Project restart fees: If a project remains suspended for more than 14 business days due to non-payment, a project reactivation fee may apply to reassemble the team and resume active development.
Hosting and domain suspension: If invoices related to managed hosting, server maintenance, or domain renewals remain unpaid, Apps Digit reserves the right to suspend web hosting, staging servers, and live site services after providing formal email notice.

8 Project Scope, Scope Creep, and Change Requests

Agreed project scope: Our work is strictly limited to the features, wireframes, and specifications written into the initial contract.
Scope creep: If you request tasks, revisions, or extra features outside the contracted scope, Apps Digit is not obligated to build them under the original agreement. We reserve the right to decline work that goes beyond what was originally agreed.
Change requests: Any modifications, new requirements, or design revisions requested after work begins must follow a formal Change Request (CR) process:
  • You submit the requested changes in writing.
  • We assess technical feasibility, extra costs, and schedule impact.
  • Work on the changes will begin only after both parties agree to the additional budget and updated timeline in writing.

9 Acceptance of Deliverables and Sign-Off

To keep projects moving forward without indefinite delays, delivered work follows a structured acceptance process:

Review window: When we deliver a completed module, staging website, beta build, or finished application for your review, you have ten (10) business days (unless your contract specifies another timeframe) to test the deliverable against the agreed specifications.
Reporting defects: If a deliverable fails to meet the documented requirements, you must provide a consolidated written list of specific bugs or discrepancies before the review window expires. We will fix verified defects at no extra charge.
Deemed acceptance: A deliverable is legally and officially deemed accepted in full if:
  • You confirm acceptance in writing or via email; or
  • You fail to provide a written list of defects within the 10-business-day review window; or
  • You deploy, launch, publish, or use the deliverable in a live production environment or for commercial business operations.

Once a deliverable is deemed accepted, any subsequent modification, redesign, or feature request requires a formal, paid Change Request.

10 Refunds and Cancellation Policy

Non-refundable deposits: Initial deposits and advance payments are strictly non-refundable once work has commenced. These funds secure dedicated engineering squad hours, infrastructure setup, and technical planning.
Payment for work completed: If you cancel a project at any time after signing the contract, you must immediately pay for all work, hours, and project phases completed up to the date of written cancellation notice.
Third-party expenses non-refundable: Any expenses incurred on your behalf—including domain registrations, third-party plugin/theme licenses, SSL certificates, server provisions, or API credits—are non-refundable under all circumstances.
Cancellation after design approval: Once design prototypes or UI wireframes are approved and backend programming begins, fees for completed design and architecture phases are non-refundable.
Cancellation due to client inactivity (abandoned projects): If you become unresponsive, fail to provide required materials, or do not respond to communications for thirty (30) consecutive calendar days, Apps Digit reserves the right to declare the project abandoned. In such cases:
  • The project is officially terminated.
  • All deposits and fees paid to date are forfeited.
  • Resuming an abandoned project requires a new contract, an updated price estimate, and a project reactivation fee.

11 Client Data, Backups, and Data Retention

Client backup responsibility: While Apps Digit follows standard engineering security practices, you are solely responsible for maintaining your own independent, off-site backups of your databases, website files, media assets, and customer information.
Managed hosting backups: For clients on active Apps Digit managed hosting plans, we perform automated routine server snapshots for emergency disaster recovery. These server snapshots are not an insurance policy against accidental file deletions or data loss initiated by you or your administrators.
Project file retention during development: We retain project files, staging databases, and working branches during active development and for sixty (60) calendar days following final delivery or project launch. After this period, non-essential development branches and temporary staging environments may be archived or deleted.
Data deletion upon hosting termination: If your hosting contract expires, is terminated, or is cancelled due to non-payment:
  • We provide a fourteen (14) day grace period during which you must export your data.
  • After this grace period, Apps Digit may permanently delete all hosted databases, application files, and server instances without liability for lost records.

12 Mobile App Development and Store Approvals (Apple App Store & Google Play)

Client developer accounts: Apps are published under your own Apple Developer and Google Play Console accounts. You own and control your developer credentials.
Developer fees and store commissions: All recurring store fees (such as Apple's annual developer fee or Google's registration fee), in-app purchase commissions, and developer account charges are your sole responsibility.
Legal and business compliance: You are strictly responsible for meeting all legal, privacy policy, user data handling, age rating, and licensing requirements tied to your app's business model.
Developer account standing: Apps Digit is not responsible for any warnings, flags, account restrictions, or account suspensions issued by Apple or Google against your developer accounts.
No approval or business guarantees: Acceptance, review timelines, and publishing approvals are decided solely by Apple and Google. While we assist with initial submission and address standard technical rejections, we do not guarantee store approval, featured placement, keyword rankings, download counts, or revenue.
Reviewer change demands and resubmissions: Apple or Google reviewers may demand changes to your app's features, wording, or user flow. If a rejection occurs due to your business model, restricted app categories, copyright questions, or content you provided, any rework, redesign, or resubmission outside our initial technical delivery is billable.
Post-delivery store policy updates: If Apple or Google updates their platform guidelines, API requirements, or SDK policies after your app has been delivered, any required updates to keep your app compliant will be handled as a paid service.

13 30-Day Bug Warranty and Maintenance Boundaries

We provide a complimentary 30-day bug-fix period starting on the day of delivery or launch. To prevent open-ended maintenance obligations, we strictly define what qualifies as a warranty issue:

What is covered as a warranty bug:

A defect or technical error that causes the delivered software to materially fail to perform an expressly documented requirement written in your signed contract.

What is NOT covered under the free warranty:
  • New feature requests: Any feature, page, screen, or functional capability not explicitly written in the original scope.
  • Changes in business requirements: Alterations to your business logic, user flows, workflows, or design preferences made after delivery.
  • Third-party API and platform changes: Disruptions caused by updates, deprecations, rate limits, or breaking changes in outside APIs (such as payment gateways, SMS providers, Meta, or Google services).
  • Client or third-party code modifications: Any defect resulting from files, scripts, plugins, or databases modified by you or any developer outside Apps Digit immediately voids warranty coverage on those components.
  • Hosting and server environment changes: Server configuration errors, PHP/Node version mismatches, DNS misconfigurations, or hosting issues outside our direct management.
  • New operating system releases: Compatibility issues caused by major new iOS, Android, or browser versions released after the project delivery date.

Ongoing maintenance: Any work outside the defined warranty coverage requires a paid work order or an Annual Maintenance Contract (AMC).

14 Third-Party Services, APIs, and Integrations

Our software systems frequently connect with external third-party services to deliver required functionality, including:

  • Payment gateways: eSewa, Khalti, Fonepay, Stripe, PayPal, and merchant processors
  • SMS & OTP providers: Sparrow SMS, Twilio, and telecom gateways
  • Mapping & geo services: Google Maps Platform, Mapbox, and location APIs
  • Cloud & backend: AWS, Google Cloud Platform (GCP), Firebase, and Supabase
  • Platform APIs: Apple Developer, Google Play, Meta Graph API, and WhatsApp Business API
  • Domains & messaging: Registrars, Google Workspace, Microsoft 365, SendGrid, and Mailgun
  • CMS plugins & themes: WordPress plugins, third-party libraries, and external themes
Important boundaries for third-party tools:
Direct fees and billing: All ongoing subscription costs, API pay-as-you-go usage fees, transactional rates, merchant cuts, and renewal bills from third-party services are your sole financial responsibility.
No control over external systems: Apps Digit has no control over outages, server downtime, network latency, policy updates, pricing increases, mandatory verification demands, account suspensions, or service shutdowns by third-party companies.
API deprecations and changes: If an external provider alters its API specifications, changes its terms, drops support for a feature, or shuts down, Apps Digit is not liable for resulting disruptions. Any re-engineering, code migration, or alternate integration required to adapt to third-party changes is billable work outside the original project scope.

15 Hosting and Server Infrastructure

We aim for 99.9% uptime on web hosting servers directly managed by Apps Digit. However, we are not responsible for outages caused by upstream cloud infrastructure providers (such as AWS, Google Cloud, or DigitalOcean), regional telecommunications downtime, or expired domain names managed directly by the client.

16 SEO and Marketing Results Disclaimer

While we apply industry-standard best practices, technical optimizations, and proven strategies, SEO results and search engine rankings are neither guaranteed nor predictable:

  • Search engine algorithms: Search engines (such as Google) frequently update their ranking algorithms without notice, which can impact visibility, rankings, and traffic at any time.
  • External variables: Search performance is influenced by numerous factors outside our control, including competitor activity, market trends, user search behavior, domain history, content quality updates, and external backlink changes.
  • No ranking promises: We do not guarantee specific keyword rankings, top-page positions, fixed traffic numbers, or exact lead volumes. All digital marketing and SEO services are provided on an effort-and-strategy basis.

17 Force Majeure (Events Outside Our Control)

Neither Apps Digit nor the client shall be held responsible or legally liable for any delay, performance interruption, or failure to meet deliverables caused by circumstances beyond reasonable control, including:

  • Natural disasters (earthquakes, floods, storms, landslides, fires)
  • War, armed conflicts, civil unrest, strikes, or riots
  • Government orders, regulatory restrictions, shutdowns, or legal prohibitions
  • Major regional or nationwide internet outages, power grid failures, or telecommunications cutoffs
  • Global cloud-provider or datacenter outages (such as failures at AWS, Google Cloud, Azure, Cloudflare, or upstream ISPs)
  • Distributed denial-of-service (DDoS) attacks, sophisticated cyberattacks, zero-day security vulnerabilities, or third-party software sabotages

In the event of such an occurrence, project delivery timelines will automatically extend for the duration of the disruptive event.

18 Confidentiality and Non-Disclosure

We treat your business ideas, project files, technical plans, and customer data as strictly confidential. Neither party will share private project details with outside parties without written permission, except when required by law.

19 Ending or Pausing Services

We may pause or cancel services immediately if:

  • You fail to pay invoices according to your contract terms after receiving reminders.
  • You break these Terms or the project contract.
  • The project involves unlawful, fraudulent, or harmful activity.

You may stop using our website at any time. If you decide to cancel an active project, payment is due for all work completed up to the cancellation date in accordance with your contract.

20 Limits on Our Liability

To the extent allowed by law:

  • Apps Digit is not liable for indirect losses, lost profits, lost data, business interruptions, or server outages.
  • We are not liable for security breaches resulting from third-party software bugs, server vulnerabilities outside our control, or passwords compromised on your end.
  • Our total legal liability for any project dispute will never exceed the total amount you actually paid us for that specific project during the three (3) months before the dispute arose.

21 General Disclaimer

We build our software with care and modern standards. Outside of our stated 30-day warranty and specific contract commitments, our website and free tools are provided "as is" and "as available" without warranties of any kind, whether express or implied.

22 Governing Law

These Terms are governed by the laws of Nepal. Any formal legal disputes will be handled in the competent courts of Nepal.

23 Updates to These Terms

We may update these Terms as our services grow. If we make major changes, we will post an update on our website and adjust the "Last updated" date. Continuing to use our website or services after updates means you accept the revised terms.
